1. Acceptance of Terms

By accessing and using this website and/or engaging with Forge for services ("Services"), you ("Client" or "You") agree to be bound by these Terms of Service ("Agreement"). These terms constitute the entire agreement between You and Forge regarding the provision of Services unless superseded by a signed written agreement.

If You do not agree to these terms, you must not use this website or engage our Services. Your continued use constitutes acceptance.

2. Services Provided

Forge provides custom web development, web design, web application development, and related digital services ("Services"). Services include:

Custom website and web application design and development
Technical consulting and architecture design
Post-launch support and maintenance (as specified in project scope)
Integration with third-party systems and APIs

Scope Limitations: Services are strictly limited to items specified in the signed Statement of Work or project proposal. Requests outside the defined scope constitute change orders and are billed separately.

3. Pricing and Payment Terms

3.1 Pricing: Service fees are as specified in the signed proposal or Statement of Work. All prices are quoted in the currency specified, exclusive of applicable taxes and fees unless stated otherwise.

3.2 Payment Schedule: Payment is typically structured as follows unless otherwise agreed in writing:

50% due upon project kick-off and contract signature
50% due upon project completion and delivery

3.3 Payment Terms: Payment is due within 7 days of invoice unless otherwise agreed. Invoices must be paid in full before project delivery unless a formal payment plan is signed.

3.4 Late Payment: Late payments accrue interest at the rate of 1.5% per month (or the maximum allowed by law, whichever is lower) and may result in:

Suspension of Services and Support
Withholding of deliverables until payment is received
Termination of the Service agreement with 5 days' notice

4. Project Delivery Timeline

4.1 Delivery Window: Forge commits to delivering projects within the timeframe specified in the proposal, typically 3-5 business days from project kick-off for standard scopes. This timeline assumes:

Timely provision of required content, assets, and information by Client
Client availability for timely decision-making and approvals
No material changes to project scope

4.2 Scope Changes: Material changes or additions to project scope extend the delivery timeline. Forge will provide revised timelines upon request for scope changes.

4.3 Delays: Forge makes best efforts to meet deadlines but is not liable for delays caused by Client actions, third-party systems, or unforeseen technical complications.

5. Intellectual Property Rights

5.1 Client Content: You retain all ownership and intellectual property rights to content, data, and materials you provide to Forge ("Client Materials").

5.2 Custom Code Ownership: Custom code, design, and creative work developed specifically for your project ("Deliverables") becomes your exclusive property upon receipt of full payment. You may use, modify, and distribute Deliverables as you see fit.

5.3 Forge IP: Forge retains ownership of its underlying systems, frameworks, tools, processes, and intellectual property ("Forge IP"). This includes design patterns, code libraries, methodologies, and documentation. Your license to Forge IP is limited to personal use within the Deliverables.

5.4 Third-Party IP: The Deliverables may include open-source or third-party software subject to their respective licenses. You agree to comply with all applicable third-party license terms.

6. Refund Policy

6.1 Refund Eligibility: We stand behind our work with a satisfaction guarantee. If you are not completely satisfied within 7 days of launch, we will refund your payment in full, provided:

The Deliverables meet the specifications in the signed Statement of Work
The complaint is not the result of Client-requested changes
The request is submitted within 7 days of delivery

6.2 Non-Refundable Circumstances: Refunds are not available for:

Changes in Client requirements or business direction
Work performed beyond the defined scope
Third-party services or hosting charges
Requests made more than 7 days after delivery

7. Post-Launch Support and Maintenance

7.1 Included Support: All projects include 30 days of free post-launch support covering:

Bug fixes and issue resolution
Minor adjustments and optimizations
Basic technical support

7.2 Extended Maintenance: After the 30-day period, maintenance and support are available on a paid basis. Standard maintenance includes security updates, performance optimization, and bug fixes.

7.3 Responsibility Transition: After the support period, Client assumes responsibility for hosting, backups, security patches, and general maintenance unless a formal maintenance agreement is in place.

8. Limitations of Liability

8.1 Liability Cap: Forge's total liability for any claim arising from or related to Services is limited to the total amount paid by Client for the specific Services in question.

8.2 Excluded Damages: Forge shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages.

8.3 Service Availability: Forge does not guarantee uninterrupted or error-free operation of Deliverables. We commit to best-effort support and will address issues in a timely manner.

9. Dispute Resolution

9.1 Informal Resolution: Before pursuing formal legal action, the parties agree to attempt resolution through good-faith negotiation. Either party may submit a written notice of dispute, and the parties will meet within 10 days to attempt resolution.

9.2 Escalation: If negotiation fails, either party may pursue binding arbitration or litigation as permitted by law.

10. Acceptable Use Policy

You agree not to use our Services for:

Illegal activities or violation of any law or regulation
Harassment, abuse, or threats of any kind
Spam, phishing, or malware distribution
Infringement of third-party intellectual property rights
Unauthorized access to systems or data
Any activity that violates these Terms or applicable law

Forge reserves the right to suspend or terminate Services immediately if prohibited activities are discovered.

11. Termination

11.1 Termination by Client: You may cancel Services with 30 days' written notice. Cancellation does not entitle you to refund of fees already paid for Services rendered.

11.2 Termination by Forge: Forge may terminate Services immediately if You materially breach these Terms or engage in prohibited activities. Termination does not waive Client's obligation to pay for Services already rendered.

11.3 Effect of Termination: Upon termination, Forge will deliver all completed work and Client Materials within 5 business days. Incomplete work will not be delivered unless payment is received.

12. Changes to Terms

Forge may update these Terms of Service at any time. Material changes will be communicated via email to the email address on file. Continued use of Services after changes constitutes acceptance of the updated terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Kingdom without regard to conflict of laws principles. Both parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales.
